Terms of Service

1.Investment decision support

Zoe is an informational, analytical, and decision-support platform. Product labels such as "signal," "decision," "buy," "sell," "watch," "avoid," "protect," "confidence," "risk," or "trigger" describe analytical outputs. They are not trading instructions, guarantees, or personalized financial advice.

Zoe presents itself as decision-support software, not as a licensed investment adviser, investment marketer, portfolio manager, broker-dealer, financial planner, tax adviser, or legal adviser. Whether any particular regulatory classification applies in your jurisdiction is a matter for counsel and local law. See Risk Disclosure.

2.Your responsibility

You are solely responsible for your financial, investment, trading, tax, legal, and portfolio decisions. You should not rely on Zoe as the sole basis for any decision.

Before acting, independently evaluate the information and, where appropriate, consult a licensed professional who understands your circumstances.

3.No advisory relationship

Your use of the Service does not, by itself, create a fiduciary, advisory, broker, agency, client, or professional relationship between you and Zoe, its operators, affiliates, employees, contractors, or licensors. Any claim that a regulated relationship exists must be evaluated under applicable law. This clause does not waive rights that cannot be waived by contract.

4.Service modes

Zoe Investment Intelligence helps you understand your portfolio, monitor markets, and review decision-support outputs. It does not custody your assets.

Demo Autopilot is an internal demo research mode. It is not offered as customer live-money auto-trading. Where demo simulation exists, it uses demo funds only.

Live-money Autopilot (automatic trading of real funds by Zoe) is not currently available. Real-money trading, if you choose to trade at all, happens through your own broker, exchange, or wallet under that provider's terms.

5.Demo Autopilot and simulated execution

Where Demo Autopilot is offered, execution is simulated or runs against a demo trading environment. Demo balances are not real money. Simulated fills, spreads, latency, liquidity, fees, and other execution conditions can differ materially from live markets.

Demo results do not predict future returns. Demo performance is not a representation of what you would achieve with real money.

Live-money Autopilot is not currently available. Do not treat Demo Autopilot as live brokerage automation.

6.Optional broker connections

You may optionally connect a supported broker integration (currently eToro) to sync holdings and related account context into Zoe. Connection credentials you provide are stored in encrypted form and used to operate the integration you enabled.

Normal user eToro connections are for portfolio sync: holdings and related context so Zoe can personalize decision support. Zoe does not place trades from a connected user account. Live-money Autopilot is not currently available. Zoe cannot programmatically verify that an eToro API key is read-only. Prefer a Read key when you create one.

Broker features depend on the broker's API, your credentials, and environment (demo or real). Zoe does not custody funds. Actions you confirm with a broker remain your responsibility and are subject to that broker's terms.

7.Public Demo

Marketing or product surfaces may show a public demo book (including PUBLIC_DEMO_V1). That demo is simulated and predefined. It is not a real customer portfolio, not live account data, and not investment performance.

Public Demo results are illustrative only. They are not Proof, not a promise of returns, and not a representation of expected live outcomes.

8.AI and automated outputs

Zoe uses automated systems and AI models (including third-party model providers) to analyze market data, portfolio context, and your questions. Outputs may be incomplete, incorrect, outdated, or unsuitable for your situation.

Model confidence scores and similar labels are product metrics, not certainty. You should independently evaluate any decision before acting.

Research experiments, model candidates, and internal tests are not promises of future performance.

9.Third-party data and services

The Service depends on third-party providers for hosting, databases, authentication, analytics, payments, notifications, market data, AI inference, and optional broker APIs. Those services may be delayed, incomplete, inaccurate, rate-limited, or unavailable.

Zoe does not guarantee the accuracy, completeness, timeliness, or suitability of any third-party data, signal, price, portfolio value, or AI-generated output.

10.Investment and market risk

Investing and trading involve risk, including loss of principal. Asset prices can move quickly and unpredictably. Past performance, historical data, backtests, demo results, confidence scores, or prior signals do not guarantee future results.

11.Cryptocurrency and digital assets

Cryptocurrencies and digital assets can be highly volatile and may involve liquidity, cybersecurity, smart-contract, exchange, wallet, custody, regulatory, and fraud risks, including total loss of value.

12.Research, evidence, and measured outcomes

Zoe may display measured outcomes, research experiments, validation views, or "next model" style research surfaces when enough verified data exists. Those displays are historical or experimental observations.

Research and measured outcomes do not guarantee future results and are not a promise of alpha, profit, or suitability for any user.

13.Plans and payments

Zoe offers a Free plan and a Pro subscription. Free includes core portfolio intelligence such as dashboard signals, portfolio tools, alerts, and trust metrics when available. Pro adds Ask Zoe on that same context. Feature lists in the product and pricing page control what is included.

New accounts may receive a limited Pro trial (currently 7 days) before returning to Free unless you subscribe. Pro is billed in USD (currently $49.99 per month, with yearly billing available where offered) via PayPal and/or Apple In-App Purchase where available.

Paid subscriptions renew automatically each billing period until you cancel in the product or through the payment provider. If you cancel, renewal stops and Pro access continues until the end of the period already paid for. We do not refund the current billing period except where required by law. Prices and plan features may change subject to applicable law.

14.Prohibited use

You agree not to: (1) use the Service for unlawful, fraudulent, abusive, or harmful purposes; (2) rely on the Service as your sole basis for investment decisions; (3) use the Service to provide regulated investment advice to third parties without required licenses; (4) reverse engineer, scrape, resell, or exploit the Service; (5) interfere with security or availability; (6) submit false or unauthorized information; (7) violate applicable law or third-party rights.

15.Limitation of liability

To the maximum extent permitted by law, Zoe and its operators, affiliates, officers, employees, contractors, and licensors shall not be liable for indirect, incidental, consequential, special, punitive, or similar damages arising from your use of the Service, reliance on outputs, investment decisions, demo or live trading activity, data errors, outages, or third-party failures.

Nothing in these Terms limits mandatory consumer rights that cannot be waived under applicable law. Specific liability caps and enforceability require counsel review for your entity and jurisdictions.

16.Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability, to the maximum extent permitted by law.

17.Indemnification

You agree to indemnify and hold harmless Zoe and its operators, affiliates, officers, employees, contractors, and licensors from claims and costs arising from your use of the Service, your investment decisions, your broker activity, your violation of these Terms, or your violation of law, to the extent permitted by law.

18.Governing law

These Terms are intended to be governed by the laws of the State of Israel, without regard to conflict-of-law principles, unless mandatory consumer protection law requires otherwise. The operating legal entity name and registered address for contracting purposes should be confirmed by counsel and may be updated here when finalized.
